1. Introduction

1.1 These Website Terms and Conditions ("Terms") govern access to and use of the website located at ozprint.com.au (the "Website") and the services made available through the Website.

1.2 The Website is owned and operated by OzDynamics (ABN 50 169 516 795), trading as OzPrint ("OzDynamics", the "Company", "we", "us" or "our"), a business located in Brisbane, Queensland, Australia.

1.3 By accessing, browsing or otherwise using the Website, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website.

1.4 These Terms should be read together with the Company's Privacy Policy, Cookie Policy, Website Disclaimer and Intellectual Property Policy. Where the Company is engaged to provide manufacturing, prototyping or design services, the Company's Manufacturing Services Terms and Conditions also apply.

2. Definitions

2.1 In these Terms, unless the context requires otherwise:

(a) "Company" and "OzDynamics" mean OzDynamics (ABN 50 169 516 795), trading as OzPrint, of Brisbane, Queensland, Australia;

(b) "Customer" and "you" mean any individual, business, organisation or other entity that accesses or uses the Website, requests a Quotation, or engages the Company to provide Services;

(c) "Services" means the services provided by the Company from time to time, including FDM additive manufacturing, SLA/MSLA resin printing, CNC machining, CAD design services, product prototyping, engineering development services and small batch manufacturing;

(d) "Products" means any goods, parts, components, prototypes or other physical items manufactured or supplied by the Company;

(e) "Intellectual Property" means all present and future intellectual property rights of any kind, whether registered or unregistered, including copyright, trade marks, designs, patents, know-how, trade secrets and rights in confidential information;

(f) "Confidential Information" means any information disclosed by one party to the other that is by its nature confidential or is identified as confidential, including CAD files, drawings, technical specifications, designs, pricing and business information;

(g) "Quotation" means a written quotation issued by the Company for the supply of Services or Products; and

(h) "Australian Consumer Law" or "ACL" means Schedule 2 to the Competition and Consumer Act 2010 (Cth).

3. Website Use

3.1 The Website is provided for general information and service enquiry purposes, including to enable prospective Customers to learn about the Services and to request Quotations.

3.2 You must use the Website only for lawful purposes and in accordance with these Terms. You must not:

(a) misuse the Website, or use it in any manner that is unlawful, fraudulent or harmful, or in connection with any unlawful, fraudulent or harmful purpose or activity;

(b) knowingly introduce viruses, trojans, worms, logic bombs or any other malicious or technologically harmful code or material;

(c) attempt to gain unauthorised access to the Website, the server on which the Website is hosted, or any server, computer or database connected to the Website;

(d) interfere with, disrupt or impair the proper operation of the Website, or any network or system used in connection with the Website; or

(e) use any automated system to extract, scrape or harvest data from the Website without the Company's prior written consent.

3.3 The Company may suspend, restrict or terminate your access to the Website at any time, without notice, where the Company reasonably considers that you have breached these Terms.

4. Accuracy of Information

4.1 The Company makes reasonable efforts to ensure that information published on the Website is accurate and current.

4.2 The Company does not, however, guarantee the completeness, accuracy, reliability or ongoing availability of any information on the Website, and such information may change without notice.

4.3 Information on the Website is general in nature and does not constitute professional, engineering or technical advice. Further provisions are set out in the Company's Website Disclaimer.

5. Quotes and Orders

5.1 The Services are provided on a quotation basis. Quotations may be requested through the Website, by email to quotes@ozprint.com.au, or by telephone on +61 403 342 220.

5.2 Unless otherwise specified in the Quotation, each Quotation is valid for thirty (30) days from the date of issue.

5.3 The Company may amend or reissue a Quotation where:

(a) information supplied by the Customer changes, or is found to be inaccurate or incomplete;

(b) the Customer's design requirements change;

(c) material requirements change; or

(d) manufacturing requirements change.

5.4 An order is formed when the Customer accepts a Quotation. Work will only commence after the Customer has accepted the Quotation and, where applicable, paid any deposit required under the Manufacturing Services Terms and Conditions.

5.5 All accepted orders for manufacturing, prototyping and design work are subject to the Company's Manufacturing Services Terms and Conditions, which are incorporated into these Terms by reference.

6. Payment Terms

6.1 Payment is required in accordance with invoices issued by the Company, within the timeframe stated on the relevant invoice.

6.2 All amounts are stated in Australian dollars (AUD). Where GST applies, it will be identified on the relevant Quotation or invoice.

6.3 The Company does not currently charge late payment fees.

6.4 The Company may suspend the provision of Services, withhold delivery of Products, or decline further orders where the Customer's payment obligations are not fulfilled.

7. Intellectual Property

7.1 All Intellectual Property in the Website and its content is owned by or licensed to the Company, as further described in the Company's Intellectual Property Policy.

7.2 Materials submitted by Customers, including CAD files and drawings, remain the property of the Customer and are dealt with in accordance with the Company's Manufacturing Services Terms and Conditions.

8. Privacy

8.1 The Company collects, holds, uses and discloses personal information in accordance with its Privacy Policy, which is published on the Website.

9. Liability and the Australian Consumer Law

9.1 Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, right or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.

9.2 Subject to clause 9.1, the Website is provided on an "as is" and "as available" basis and, to the maximum extent permitted by law, the Company excludes all liability for any loss or damage (including indirect or consequential loss) arising from or in connection with your use of, or inability to use, the Website.

9.3 Subject to clause 9.1, where the Company's liability cannot be excluded but may lawfully be limited, the Company's liability is limited, at the Company's option, to the resupply of the relevant services or the payment of the cost of resupplying the relevant services.

10. General

10.1 The Company may amend these Terms at any time by publishing the amended Terms on the Website. Continued use of the Website after amended Terms are published constitutes acceptance of the amended Terms.

10.2 If any provision of these Terms is held to be invalid or unenforceable, that provision will be read down or severed to the extent necessary, and the remaining provisions will continue in full force and effect.

10.3 A failure or delay by the Company in enforcing any provision of these Terms does not constitute a waiver of that provision or of any other provision.

11. Governing Law

11.1 These Terms are governed by the laws of Queensland, Australia.

11.2 The parties submit to the non-exclusive jurisdiction of the courts of Queensland and the courts of the Commonwealth of Australia.
